These Terms govern your use of the Litanyn website and establish the framework for our B2B manufacturing partnerships. Please read them carefully before engaging with our services.
Important Notice: These Terms of Service apply to all visitors, business partners, and clients engaging with Litanyn's website or manufacturing services. By accessing this website or initiating a business inquiry, you agree to be bound by these terms. If you are entering into a formal OEM/ODM agreement, a separate manufacturing contract will govern production-specific obligations.
Acceptance of Terms
By accessing or using the Litanyn website (www.litanyn.com) or by submitting any inquiry, sample request, or purchase order, you ("the User" or "Business Partner") acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations.
These Terms apply to all users of the site, including without limitation browsers, vendors, customers, merchants, and contributors of content. If you do not agree to these Terms, you are prohibited from using or accessing this site.
For business partners in the European Union, these terms are designed to align with applicable EU regulations including the General Data Protection Regulation (GDPR) and the EU Consumer Rights Directive where applicable. For partners in the United States, these terms are drafted in accordance with applicable federal and state commercial laws.
Services & Scope
Litanyn is a B2B manufacturer of stainless steel and plastic kitchenware products, including graters, sieves, flour sifters, and related kitchen gadgets. Our services are exclusively directed toward business entities, brand owners, wholesalers, importers, and retailers -- not individual consumers.
The scope of services offered through this website and through direct engagement includes:
- OEM Manufacturing: Production of kitchenware products based on client-supplied designs, specifications, and branding requirements.
- ODM Services: Development and manufacture of original product designs tailored to partner brand positioning and market needs.
- Customization: Bespoke material selection, handle design, laser marking, logo printing, and custom packaging solutions.
- Compliance Documentation: Provision of certificates, test reports, and compliance documentation including CE, FDA, BSCI, and ISO9001.
- Sample Development: Pre-production sample creation and iterative refinement prior to mass production commitment.
Note: Litanyn does not sell products directly to end consumers. All inquiries and orders must be placed by registered business entities. Minimum order quantities (MOQs) apply and will be specified in individual quotations.
Partnership & OEM/ODM Terms
Formal OEM/ODM partnerships are governed by a separate Manufacturing & Supply Agreement executed between Litanyn and the partner. The terms outlined in this section represent the general principles that apply to all business engagements and serve as the baseline framework pending execution of a formal contract.
Quotation & Pricing
All prices quoted are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on raw material fluctuations, order volume, and specification changes. Final pricing is confirmed upon written purchase order acceptance.
Tooling & Molds
Custom tooling and molds developed for a client remain the intellectual property of the client upon full payment of tooling fees. Litanyn retains the right to use tooling for production purposes only within the scope of the agreed partnership.
Payment Terms
Standard payment terms are 30% deposit upon order confirmation and 70% balance prior to shipment, unless alternative terms are agreed in writing. All payments are to be made in USD unless otherwise specified.
Lead Times
Standard production lead times range from 30-60 days depending on order complexity and volume. Rush production may be available subject to factory capacity. Lead times commence upon receipt of confirmed deposit and approved pre-production samples.
Orders & Production
All purchase orders must be submitted in writing and include complete product specifications, packaging requirements, labeling details, and delivery instructions. Orders are deemed accepted only upon written confirmation from Litanyn.
Order Modifications & Cancellations
Order modifications requested after production commencement may incur additional charges. Cancellations after deposit payment are subject to forfeiture of the deposit and any incurred tooling or material costs. Litanyn will make reasonable efforts to accommodate changes where production stage permits.
Production Capacity
Litanyn operates a 4,500 sqm production facility with a daily output of up to 6,000 units per product. Production scheduling is allocated on a first-confirmed, first-scheduled basis. Partners requiring reserved production capacity should discuss priority scheduling arrangements in advance.
Shipping & Delivery
Standard shipping terms are FOB Yangjiang, China, unless otherwise agreed. Risk of loss and title transfer to the buyer upon delivery to the designated freight forwarder. Litanyn is not responsible for delays caused by customs clearance, shipping carrier issues, or force majeure events.
Quality & Compliance
Litanyn is committed to delivering products that meet or exceed internationally recognized quality and safety standards. All manufacturing operations are governed by our ISO9001-certified Quality Management System.
Intellectual Property
All content on this website -- including but not limited to text, product imagery, technical drawings, design files, branding, and website architecture -- is the exclusive intellectual property of Litanyn and is protected under applicable copyright and trademark laws.
Client-Supplied Designs: When a business partner supplies proprietary designs, logos, or specifications for OEM production, the partner warrants that they hold full rights to such materials and that their use does not infringe upon any third-party intellectual property rights. Litanyn accepts no liability for IP infringement arising from client-supplied materials.
Litanyn's ODM Designs: Original product designs developed by Litanyn's engineering team remain the property of Litanyn unless explicitly transferred to a client through a written IP assignment agreement and full payment of associated design and development fees.
Prohibited Use: Reproduction, distribution, or commercial use of any Litanyn website content or product designs without prior written consent is strictly prohibited and may result in legal action.

Clients engaging with Litanyn's ODM portfolio or requesting factory audits may be required to execute a formal Non-Disclosure Agreement (NDA) prior to the disclosure of proprietary manufacturing processes or unpublished product designs.
GDPR Compliance: For business partners and contacts in the European Economic Area, personal data collected through this website or business correspondence is processed in accordance with the General Data Protection Regulation (GDPR). Data subjects have the right to access, rectify, and request deletion of their personal data. Please refer to our Privacy Policy for full details.
Limitation of Liability
To the fullest extent permitted by applicable law, Litanyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of this website, reliance on information contained herein, or from any business relationship established through this platform.
Litanyn's total liability in connection with any manufacturing order shall not exceed the total value of the specific purchase order giving rise to the claim. This limitation applies regardless of the legal theory under which the claim is brought.
Force Majeure: Litanyn shall not be held liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, supply chain disruptions, pandemics, or transportation failures. In such events, Litanyn will provide prompt written notice and work in good faith to mitigate impact.
Governing Law & Dispute Resolution
These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
For international business partners, Litanyn recognizes the applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) where relevant, and will work cooperatively with partners to resolve disputes through good-faith negotiation as a first step.
In the event that negotiation fails to resolve a dispute within 30 days, the parties agree to submit the matter to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules. The arbitration shall be conducted in English and the seat of arbitration shall be Guangzhou, China.
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights or prevent imminent harm.
Contact & Amendments
Litanyn reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this website. We encourage business partners to review these Terms periodically. Continued use of this website or engagement with Litanyn's services following any amendment constitutes acceptance of the revised Terms.
Material changes affecting existing contractual relationships will be communicated directly to active business partners via email with a minimum of 30 days' notice where practicable.
